Foundation

On October 8, 1957, Compagnie Financière Internationale pour le Commerce et l'Agriculture (Fininter) was created by the merger of four companies: the Belgian s.a. Plantations Hallet, the Belgian s.a. Les Huileries de Sumatra, the Belgian s.a. Plantations de Johore and the Congolese limited liability company Plantations Tropicales (formerly Plantations de la Lukula s.a.).

The remaining three shares were subscribed in cash and fully paid up by various parties. The initial capital of 236,050,000 francs was represented by 472,100 shares 21-(1957 T3 - 3125/26).

Principal object

The establishment and operation of all crops, in particular those of rubber and oil essences, the exploitation of their chemical, pharmaceutical and industrial derivatives, as well as all kinds of commercial operations that may be related to the harvested products and their derivatives 21-(1957 T3- 3125/26)

Merger - Early dissolution

On May 29, 1973, the Extraordinary General Meeting decided to merge the present company with Société Anonyme Financière Européenne (Banco) and Société Financière des Caoutchoucs (Socfin), by way of contribution to Socfin.

To remunerate these contributions, an Extraordinary General Meeting of Socfin held on June 27, 1973, decided to increase Socfin's capital from 500 to 825 million francs, through the creation of 1,135,815 new shares, with dividend rights from January 1, 1973. The same meeting also decided to consolidate the 2,135,815 shares, on the basis of one new share for 2 1/2 old shares, reducing the capital to 851,326 shares.

The absorbed companies received.

1) Société Fininter, 202,326 new Socfin regrouped shares, plus a payment of 1,888,376 francs, to be distributed among Fininter shareholders, on the basis of three new Socfin regrouped shares for seven Fininter shares plus a payment of four francs per Fininter share.

2) Société Banco, 252,000 new Socfin regrouped shares, plus a payment of 2,677,500 francs, to be distributed among Banco shareholders, on the basis of eight new Socfin regrouped shares, for five Banco shares plus a payment of seventeen francs per Banco share 21-(1973 T3 -1776/77).
