ASSOCIATION COLONIALE - S.A.

Incorporation of the company

The S.A. Association Coloniale was incorporated on March 21, 1900, with a capital of one million francs represented by 10,000 shares with a capital of one hundred francs. In addition, 10,000 founder's shares were created, with no stated value. The head office was established in  Anvers.

The share capital of one million francs, which was 25% paid up, was subscribed to:

La Compagnie Générale Coloniale, société anonyme pour le Développement du Commerce et l'Industrie au Congo, 1,255 shares; La Compagnie Auxiliaire Industrielle, 1,000 shares; La Mutualité Coloniale et Industrielle, 500 shares; M. le baron Léon Béthune, 100 shares; M. Bernard Cools, 100 shares; M. Paul Macau, 45 shares; La Banque de Reports, de Fonds Publics et de Dépôts, 1. 400 shares ; M. Edouard Thys, 100 shares ; M. Alexis Mols, 900 shares ; M. Charles Charlier, 100 shares ; M. Léonce Groetaers, 1,400 shares ; M. Charles de Crane, 100 shares ; M. Alfred Dedyn, 500 shares ; M. Joseph Léautaud, 1,000 shares ; M. Emile Ségard, 200 shares ; M. Eugène Motte, 125 shares ; M. Henri Glorieux, 100 shares ; M. Jules Ritaine-Descamps, 950 shares.

The 10,000 founder's shares were allocated as a special benefit to the subscribers of the capital shares, to whom they were distributed in accordance with existing agreements 12(-05/04/1900)-1518).

First Board of Directors

The Board of Directors was made up of eight directors:

Bernard Cools, Baron Léon Bethune, Alfred Dedyn, Léonce Groetaers, Joseph Léautaud, Alexis Mols, Jules Ritaine-Descamps and Edouard Thys 12-(05/04/1900)-1518).

Object

Equity interests in all colonial or industrial companies, whether in Belgium or abroad, and all commercial, industrial, financial, banking and credit, agricultural, forestry or mining operations 12-(05/04/1900)-1518).

Modification of capital, event(s), participation(s), dividend(s), quotation

The EGM of April 21, 1902, decided to reduce the capital by 400,000 francs to 600,000 francs, represented by 10,000 shares of sixty francs each. The same meeting also decided that the capital could be reduced by 150,000 francs to 450,000 francs on one or more occasions, by simple decision of the Board of Directors 12-(22/04/1902)-2371).

Dissolution, liquidation

After 3 years in existence, the company was dissolved and placed in liquidation (December 21, 1903); the liquidation was closed on February 14, 1906, 12-(03/03/1906)-848).
